Terms of Service

1. Acceptance of Terms

By accessing or using Symplify ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

We may modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the modified Terms.

2. Description of Service

Symplify is a productivity platform designed for individuals with ADHD and focus challenges. The Service includes a web application and browser extension that provide task management, focus tools, AI-powered features, and productivity tracking.

3. Account Registration

To use certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

4. Subscription and Payment

4.1 Free and Pro Plans

Symplify offers a free tier with limited features and a Pro subscription with expanded functionality. Pro subscriptions are billed monthly ($9.99/month) or annually ($7.99/month, billed as $95.88/year).

4.2 Free Trial

New Pro subscribers receive a 7-day free trial. You will not be charged during the trial period. If you do not cancel before the trial ends, your subscription will automatically convert to a paid subscription.

4.3 Billing

Payments are processed through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis. Prices are subject to change with notice.

4.4 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to Pro features until the end of your current billing period. No partial refunds are provided for unused time.

5. Focus Contracts - Special Terms

Focus Contracts is a unique accountability feature that allows users to set financial stakes on completing tasks. By using Focus Contracts, you acknowledge and agree to the following:

5.1 How Focus Contracts Work

  • You create a Focus Contract by setting a task, deadline, and stake amount (the money you risk)
  • If you complete the task before the deadline and verify completion, you keep your money
  • If you fail to complete the task or do not verify completion by the deadline, the stake amount is charged to your payment method

5.2 No Refunds for Failed Contracts

Focus Contract charges for failed contracts are final and non-refundable. This is by design: the accountability mechanism only works if the financial consequence is real and enforceable.

By creating a Focus Contract, you expressly acknowledge that:

  • You understand and accept the financial risk involved
  • You are voluntarily choosing to put money at stake
  • You will not dispute or request chargebacks for failed contract charges
  • The charge will be processed automatically if you do not complete and verify the task

5.3 Technical Issues

If a technical issue on our end prevents you from verifying a legitimately completed task, contact us at support@getsymplify.com within 24 hours of the deadline. We will review each case individually and may issue a refund at our discretion if we determine a Service malfunction caused the failure.

5.4 Abuse Prevention

We reserve the right to suspend Focus Contracts access for users who abuse the system, including but not limited to: filing fraudulent disputes, creating contracts with no intent to complete them, or using chargebacks to avoid legitimate charges.

6. Refund Policy

6.1 Subscription Refunds

We offer refunds for Pro subscriptions under the following circumstances:

  • If you cancel within 14 days of your first paid subscription and have not extensively used Pro features, you may request a full refund
  • If you experience a significant, documented Service outage that prevents use for an extended period
  • If you were charged in error (e.g., after cancellation)

To request a refund, contact support@getsymplify.com with your account email and reason for the request.

6.2 Focus Contract Charges

As stated in Section 5, charges for failed Focus Contracts are non-refundable. This policy is essential to the functionality of the feature and is agreed upon when you create each contract.

6.3 Chargebacks

Filing a chargeback or payment dispute for a legitimate charge (including failed Focus Contract charges) is a violation of these Terms and may result in immediate account termination and potential legal action to recover the disputed amount plus associated fees.

7. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose
  • Attempt to gain unauthorized access to the Service or other accounts
  • Interfere with or disrupt the Service or servers
  • Upload malicious code or content
  • Scrape, crawl, or use automated means to access the Service without permission
  • Resell, redistribute, or sublicense the Service
  • Use the Service to harass, abuse, or harm others
  • Circumvent any usage limits or restrictions

8. Intellectual Property

The Service, including its design, features, code, and content (excluding user-generated content), is owned by Symplify and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

You retain ownership of content you create using the Service. By using the Service, you grant us a limited license to store, process, and display your content as necessary to provide the Service.

9. AI Features

Symplify uses artificial intelligence for certain features (AI Summary, AI Project Generation, Brain Dump analysis). AI-generated content is provided "as is" and may not always be accurate. You are responsible for reviewing and verifying any AI-generated output before relying on it.

Content you submit for AI processing is sent to Groq for processing. We do not use your content to train AI models.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Symplify is a productivity tool and is not a substitute for professional medical, psychological, or therapeutic advice. If you have ADHD or other conditions, please consult qualified healthcare providers.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYMPLIFY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

  • Your use or inability to use the Service
  • Any unauthorized access to or use of our servers
  • Any interruption or cessation of transmission to or from the Service
  • Any bugs, viruses, or similar issues transmitted through the Service
  • Any errors or omissions in any content

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Symplify and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service or violation of these Terms.

13. Termination

We may suspend or terminate your access to the Service at any time for any reason, including violation of these Terms. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (such as intellectual property, disclaimer, and limitation of liability) shall survive.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to conflict of law principles.

15. Dispute Resolution

Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with applicable arbitration rules.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
